1. Introduction and Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Secret Burger Kitchen, LLC, and its affiliates (collectively, "SBK," "we," "us," or "our"). These Terms govern your access to and use of our website, www.SecretBurgerKitchen.com, any mobile applications, online ordering platforms, loyalty programs, and other digital services we provide (collectively, the "Services").

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

The names "Secret Burger Kitchen," "Secret Cravings," the SBK logos, and all related names, logos, product and service names, designs, and slogans are trademarks of SBK. You must not use such marks without our prior written permission. Our proprietary recipes, operational systems (including our Q.S.C.V. framework), and business models, such as our dual-franchise engine, are valuable trade secrets and the exclusive property of SBK.

3. Use of the Services

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use only.

You agree not to:

• Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
• Violate or encourage others to violate the rights of third parties, including by infringing or misappropriating their intellectual property rights.
• Modify, reproduce, distribute, or create derivative works of any part of the Services.
• Use any automated device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
• Interfere with the security-related features of the Services or otherwise attempt to disrupt or disable the proper working of the Services.

4. Accounts and Registration

You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We reserve the right to disable any account at our sole discretion.

• Orders and Availability: All orders placed through the Services are subject to product availability and our acceptance. We may, in our sole discretion, refuse or cancel any order for any reason.
• Payment and Billing: You agree to provide current, complete, and accurate payment and account information for all purchases. You authorize us (or our third-party payment processor) to charge your payment method for the total amount of your order, including any applicable taxes and fees.
• Prices: Prices and availability for our products are subject to change without notice.

6. User-Generated Content (UGC)

Our brand is fueled by our community. We encourage you to share your SBK experiences. When you transmit, upload, post, or share any content—including photos, videos, or comments—on social media platforms and tag our official accounts (e.g., @SecretBurgerKitchen) or use our official hashtags (such as #GetSaucySBK, #SBKTribe, or #BurgerBlessed), you grant SBK a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, copy, display, publish, distribute, and create derivative works from your UGC in any and all media for any purpose, including marketing and advertising.

You represent and warrant that you own the rights to your UGC or are otherwise authorized to grant us these rights, and that its use does not violate the rights of any third party

7. Franchise Opportunity Information

Any information on the Services regarding franchise opportunities is for general informational purposes only and is not a franchise offering. An offer to grant a franchise is made only through the delivery of a Franchise Disclosure Document (FDD) in compliance with federal and state law.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SBK NOR ANY PERSON ASSOCIATED WITH SBK MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

WHILE WE STRIVE FOR EXCELLENCE, WE DO NOT GUARANTEE THAT THE FOOD PREPARED AT OUR RESTAURANTS IS FREE OF ALLERGENS. IF YOU HAVE A FOOD ALLERGY, PLEASE EXERCISE CAUTION.

9. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL SBK, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless SBK, its affiliates, and their respective officers, directors, employees, franchisees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to any choice or conflict of law provision.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington, in each case located in King County.

12. General Terms

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Secret Burger Kitchen, LLC regarding the Services. Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
